These Terms of Use (the “Terms”) govern your access to and use of the website located at www.propulsionsport.com (the “Site”) and the Propulsion software platform (the “Platform”) (collectively, the “Services”), including all user manuals and guides related to the Platform (the “Documentation”), which are provided to you (“you” or “your”) by Propulsion Technologies inc. (“Propulsion,” “we,” or “our”). For clarity, these Terms apply to every visitor to the Site and to any user of the Platform, even though your access to the Platform may be provided pursuant to an agreement between Propulsion and your employer or any Propulsion client responsible for linking your user account to a company account (the “Company Account Holder”). In connection with your access to and use of the Platform, you acknowledge that Propulsion is acting solely as an intermediary between you and the Company Account Holder.
To the maximum extent permitted by law, we reserve the right, in our sole discretion, to modify these Terms, or any part thereof, at any time. In such cases, Propulsion will provide you with reasonable notice before the modified Terms become effective. The modified Terms will take effect upon publication and will apply to your use of the Services from that time onward.
THESE TERMS CONSTITUTE A BINDING AGREEMENT BETWEEN YOU AND PROPULSION CONCERNING YOUR ACCESS TO AND USE OF THE SITE. BY USING AND ACCESSING THE SERVICES YOU: (I) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD EACH OF THE TERMS HEREIN; (II) AGREE TO THESE TERMS AND ACCEPT TO BE BOUND BY THEM; AND (III) REPRESENT THAT YOU ARE DULY AUTHORIZED BY THE COMPANY ACCOUNT HOLDER TO ACCESS AND USE THE PLATFORM. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICES. IN THAT EVENT, YOU WILL HAVE NO RIGHTS WITH RESPECT TO THE SERVICES, AND YOU MUST NOT ACCESS OR USE THEM.
1. RIGHTS GRANTED
Subject to your strict compliance with these Terms, Propulsion hereby grants you the right to access and use the Platform solely in accordance with the Documentation and for the internal business needs of the Company Account Holder. The rights granted under this article will terminate immediately upon the first occurrence of either: (i) your ceasing to use the Platform and deleting your account; or (ii) Propulsion, upon reasonable notice, revoking your authorization to use the Platform for any reason. For clarity, the termination of your employment relationship with the Company Account Holder or the expiration/termination of the rights granted by Propulsion to that Company Account Holder automatically revokes your access to and use of the Platform.
2. USER ACCOUNT
2.1 Account Creation
The Platform requires the creation of a user account. When you create an account, you must complete the registration process by providing Propulsion with current, complete, and accurate information as requested in the applicable registration form. In certain situations, you may have the option to log in via third-party providers such as Google, or create an account directly on the Platform. You must also choose a unique username and a secure password. In case of a breach of this paragraph, Propulsion may, at its sole discretion, terminate your right to access and use the Platform.
2.2 Use of Services by Minors
If you are 14 years of age or older but have not reached the age of majority in your jurisdiction, please review these Terms with your parent or legal guardian, and you may only use the Services through your parent’s or legal guardian’s account, ensuring that you are at least 14 years old; any interaction or communication with you will be directed to your parent or legal guardian. By doing so, you represent and warrant that your parent or legal guardian has consented on your behalf and is bound by these Terms. Propulsion does not knowingly collect information from children under the age of 14.
2.3 Account Responsibility
You are solely responsible for maintaining the confidentiality of your password and your account. Furthermore, you are entirely responsible for all activities that occur under your account. Where applicable, you agree to immediately notify Propulsion of any unauthorized use of your account or any other security breach.
2.4 Privacy Policy
Any collection and use of your personal information through the Services is governed by our Privacy Policy available at https://www.propulsionsport.com/privacy, which is an integral part of these Terms. In the event of any conflict between these Terms and the Privacy Policy regarding the collection and use of your personal information, the terms of the Privacy Policy shall prevail.
2.5 Account Security
Although we use commercially reasonable security measures to protect your personal information, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or misuse your personal information.
2.6 Liability for Improper Account Use
To the extent permitted by law, Propulsion shall not be liable for any loss, including loss of data associated with your account, that you may suffer as a result of another person’s use of your password or account (whether with or without your knowledge), including any such loss of data, provided that such losses do not arise from a breach of Propulsion’s obligations under these Terms or applicable law. You may be held responsible for any losses incurred by Propulsion or any other party due to the use of your account or password by another person. Notwithstanding the foregoing, you are solely responsible for all information entered or uploaded by you on the Platform, and you release Propulsion from all liability in that regard.
2.7 Use of Other Accounts
You may not, at any time, use someone else’s account, except with the permission of the account holder as their duly authorized agent.
2.8 Account Deletion
Propulsion reserves the right to delete any account that is no longer needed following notice from you or that is inactive for more than twenty-four (24) months. A user account is considered inactive if it is no longer linked to a Company Account Holder and you have not logged into the Platform for more than twenty-four (24) months. Where applicable, Propulsion reserves the right to delete any user account that has become unnecessary, upon notification from the Company Account Holder.
3. USE OF THE SERVICES
3.1 Access and Use
Subject to your strict compliance with these Terms, Propulsion authorizes you to access and use the Site solely for your personal use or for your internal business needs, and the Platform in accordance with the Documentation, as set forth in Article 1 above.
3.2 Platform Features
Subject to your strict compliance with these Terms, the Platform allows you, as applicable, to:
(i) create and publish information related to your profile on the Platform;
(ii) view and participate in challenges and events via the Platform;
(iii) receive communications and notifications from Propulsion regarding your use of the Platform, including notifications about new challenges or events you can participate in, rewards earned, and results;
(iv) communicate and exchange messages with the Company Account Holder via the Platform; and
(v) receive notifications and messages from the Company Account Holder regarding challenges and events, participation rates, and their results. Propulsion may also offer new services and/or features through the Platform (including the release of new tools and resources); these new services and/or features will be subject to these Terms.
3.3 Accuracy of Information
Propulsion makes commercially reasonable efforts to ensure that the information available through the Services is accurate and up-to-date. However, it is possible that some information from third-party products displayed via the Services may contain typographical errors, inaccuracies, or minor omissions. In such cases, and to the extent permitted by law, we reserve the right to correct any such typographical errors, inaccuracies, or minor omissions in the Services without affecting your ongoing use of the Services.
3.4 Restrictions
You must not, directly or indirectly:
(i) copy, modify, or create derivative works from the Services or the Documentation, in whole or in part;
(ii) rent, lease, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Services or the Documentation;
(iii) reverse-engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or access the source code of the Services, in whole or in part;
(iv) remove any proprietary notices from the Services or the Documentation (if applicable);
(v) use the Services or the Documentation as a service bureau (shared services), time-share, or in any other manner allocated to third parties;
(vi) use the Services contrary to the Documentation;
(vii) provide passwords or other login credentials for the Platform to third parties;
(viii) share features of the content from the Services with third parties;
(ix) probe, scan, test for vulnerabilities, or circumvent any security mechanism used by websites, servers, or networks connected to the Services;
(x) undertake any action that imposes an unreasonable or disproportionate burden on the websites, servers, or networks connected to the Services;
(xi) access (or attempt to access) or use data of other users authorized through the Services;
(xii) knowingly reduce or obstruct access to the Services;
(xiii) access or use the Services to create a platform or service similar or competitive to the Services;
(xiv) copy personal information that you have rights to view on the Platform; or
(xv) use the Services or the Documentation in any manner or for any purpose that violates, circumvents, or infringes any intellectual property or other rights of any person, or that violates any applicable law. Failure to comply with these obligations may result in the termination of your access privileges to the Services and the deletion of your account.
3.5 Suspension of Services; Service Levels
Notwithstanding any provision to the contrary in these Terms, Propulsion may temporarily suspend your access to all or part of the Services if Propulsion reasonably determines that:
(i) there is a threat or attack on any component of the Services;
(ii) your use of the Services disrupts or poses a security risk to the Services or any other Propulsion user;
(iii) you use the Services for fraudulent or illegal activities;
(iv) your use of the Services is prohibited by applicable law; or
(v) your use of the Services violates the provisions of these Terms (each, a “Suspension”). Propulsion will make reasonable efforts to inform you in writing, where possible, of any Suspension and provide updates regarding the resumption of access to the Services following a Suspension. Notwithstanding the foregoing, Propulsion will use commercially reasonable efforts to restore access to the Services as soon as reasonably possible after the event causing the Suspension has been corrected. To the extent permitted by law, Propulsion shall not be liable for any damages, losses (including any loss of profits), or any other consequences you may suffer due to a Suspension.
3.6 Compliance Measures
The Services may include technological copy protection or other security features designed to prevent unauthorized use, including copy protection measures or features designed to prevent uses that are:
(i) beyond the scope of the rights granted under Article 1; and/or
(ii) prohibited under Article 3 of these Terms. You must not, and must not attempt to, remove, disable, circumvent, or otherwise create or implement any workaround for such copy protection or security features.
3.7 Investigations and Prosecutions
Propulsion reserves the right to investigate any actual or potential violation of these Terms and to take appropriate measures to put an end to any such violation. You acknowledge and agree that Propulsion has the right (but not the obligation) to ensure compliance with these Terms, applicable laws, orders, and governmental requirements. In the event of a violation of these Terms, Propulsion has the right, at any time and without notice, to disable your access or use of the Services.
4. COLLECTION AND USE OF INFORMATION; AGGREGATED DATA
4.1 Collection and Use of Information
Propulsion may, directly or indirectly through third-party services, collect, record, and store information regarding your use of the Services and the equipment through which the Services are accessed and used, by means of:
(i) providing maintenance and support services;
(ii) security measures built into the Services; and
(iii) transmission over the Internet. You agree that Propulsion may use this information for any purposes related to your use of the Services, including, but not limited to:
(a) improving performance, studying trends, or developing updates; and
(b) verifying compliance with these Terms and enforcing Propulsion’s rights, including all intellectual property rights in and to the Services.
4.2 Aggregated Data
Notwithstanding any contrary provision in these Terms, Propulsion may monitor your usage of the Services, collect and compile aggregated and anonymized data sets and decision models (the “Aggregated Data”). All rights, titles, and interests in and to the Aggregated Data, including all intellectual property rights therein, shall belong solely to Propulsion. You acknowledge and agree that Propulsion may:
(i) generate the Aggregated Data based on data that you have created, uploaded, submitted, used, or otherwise disclosed to Propulsion or its representatives in connection with your use of the Services;
(ii) make the Aggregated Data publicly accessible in accordance with applicable laws; and
(iii) use the Aggregated Data to the extent and in the manner permitted by applicable law.
5. INTELLECTUAL PROPERTY
5.1 Site, Platform, and Documentation
You acknowledge and agree that the Site, the Platform, and the Documentation are provided to you under license, and are not sold or otherwise transferred to you. You acquire no ownership rights in or to the Services or the Documentation under these Terms, nor any other rights in or to the Services or the Documentation other than the right to access and use the Services and the Documentation in accordance with these Terms. All rights, titles, and interests in and to the Services and the Documentation, including all intellectual property rights arising therefrom, are reserved and retained by Propulsion, subject to the license expressly granted herein and, where applicable, granted to the Company Account Holder. You are obligated to protect the Services and the Documentation (including all copies thereof) against any infringement, misappropriation, theft, unauthorized use, or access.
5.2 Trademarks; Domain Names
All trademarks, domain names, logos, trade names, and other designations of Propulsion and the Platform (collectively, the “Trademarks”) are the exclusive property of Propulsion. All other domain names, trademarks, service marks, logos, trade names, and other designations are the trademarks or registered trademarks of their respective owners. You agree to:
(i) respect Propulsion’s corporate image, the Trademarks, and the applicable marking and symbol standards (i.e., the symbols ™, ®, or others);
(ii) not use the Trademarks;
(iii) not harm or affect, in any way, directly or indirectly, the image, goodwill, and/or reputation that Propulsion enjoys in connection with the Trademarks;
(iv) not use Propulsion’s Trademarks to promote your products and/or services or those of the Company Account Holder without Propulsion’s prior written consent (which may be withheld at its sole discretion); and
(v) not use or seek the registration of any trademark, domain name, corporate or business designation, sign, or logo that is identical, similar, or likely to cause confusion with Propulsion’s Trademarks.
5.3 Feedback
If you send or transmit any communications or materials to Propulsion suggesting or recommending modifications to the Services—including, but not limited to, new features or functionalities, or any comments, questions, suggestions, or otherwise (collectively, “Feedback”)—Propulsion shall have the right (but not the obligation) to use such Feedback. By doing so, you hereby assign to Propulsion all rights, titles, and interests in and to the Feedback, effective as of the date such rights, titles, and interests are created. You agree to waive any moral rights you may have or acquire in the Feedback. Without limiting the foregoing, you acknowledge and agree that Propulsion is free to use, without attribution or compensation to any party, the ideas, know-how, concepts, techniques, or other intellectual property contained in the Feedback for any purpose whatsoever. You also agree to execute and deliver any documents that Propulsion may reasonably request to give full effect to this provision, although Propulsion shall not be obligated to use the Feedback.
5.4 Third-Party Products
Propulsion may distribute certain third-party products provided or integrated into the Services (collectively, the “Third-Party Products”). For the purposes of these Terms, such Third-Party Products are subject to their own terms and conditions. If you do not agree to comply with the terms applicable to these Third-Party Products, you must not install or use them. You acknowledge and agree that, between the parties, the respective third-party providers retain all rights, titles, and interests, including all intellectual property rights, in and to the Third-Party Products.
6. NO WARRANTY
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPULSION DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, ERROR-FREE, SUITABILITY OF CONTENT, OR AVAILABILITY. WHILE PROPULSION MAKES EVERY EFFORT TO ENSURE THAT THE INFORMATION PRESENTED IN YOUR USE OF THE SERVICES IS COMPLETE AND ACCURATE, PROPULSION CANNOT GUARANTEE THAT SUCH INFORMATION IS FREE FROM ERRORS, OMISSIONS, OR INACCURACIES. PROPULSION MAKES NO WARRANTY AS TO THE QUALITY OF CONTENT ACCESSED OR OBTAINED THROUGH THE SERVICES.
7. LIMITATION OF LIABILITY
PROPULSION ACTS SOLELY AS AN INTERMEDIARY BETWEEN YOU AND THE COMPANY ACCOUNT HOLDER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROPULSION, ITS AFFILIATES (IF ANY), OR RELATED ENTITIES, INCLUDING THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, CONTRACTORS, OR LICENSORS, BE LIABLE TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO YOUR ACCESS OR USE OF THIRD-PARTY PRODUCTS, THE USE, INTERRUPTION, DELAY, OR INABILITY TO ACCESS OR USE THE SERVICES (INCLUDING, BUT NOT LIMITED TO, DOWNTIME, NETWORK ISSUES, FORCE MAJEURE, OR EVENTS BEYOND OUR CONTROL), OR FOR ANY DAMAGES ARISING THEREFROM. PROPULSION MAY, AT ANY TIME AND WITHOUT NOTICE, TEMPORARILY SUSPEND ACCESS TO THE SERVICES FOR MAINTENANCE REASONS TO ENSURE THEIR PROPER FUNCTIONING, WITHOUT OBLIGATION TO PROVIDE COMPENSATION. TO THE MAXIMUM EXTENT PERMITTED BY LAW AND WITHOUT LIMITING THE FOREGOING, PROPULSION SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND ARISING FROM YOUR ACCESS OR USE OF THIRD-PARTY PRODUCTS, YOUR RELATIONSHIP WITH THE COMPANY ACCOUNT HOLDER, THE USE OR PERFORMANCE OF THE SERVICES, THE INFORMATION AND DATA PROVIDED THROUGH THE SERVICES OR THEIR ACCURACY, OR ANY DECISION MADE BY YOU BASED ON SUCH INFORMATION AND DATA. THE SERVICES ARE PROVIDED TO YOU PURSUANT TO THESE TERMS AND THE AGREEMENT BETWEEN PROPULSION AND THE COMPANY ACCOUNT HOLDER. YOUR ACCESS TO THE PLATFORM IS SOLELY FOR THE BENEFIT OF THE COMPANY ACCOUNT HOLDER AND AT ITS DISCRETION, AND YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE NO RIGHTS UNDER THAT AGREEMENT, INCLUDING THE RIGHT TO ENFORCE ANY OF ITS TERMS. ANY OBLIGATION OR LIABILITY THAT PROPULSION OR ITS AFFILIATES (IF ANY) MAY HAVE REGARDING YOUR USE OR INABILITY TO USE THE SERVICES SHALL BE SOLELY AGAINST THE COMPANY ACCOUNT HOLDER AND ONLY SUBJECT TO THE LIMITATIONS OF LIABILITY SET FORTH THEREIN.
8. INDEMNIFICATION
By using the Services, you agree to indemnify and hold harmless Propulsion, its affiliates (if any), officers, directors, shareholders, employees, agents, and licensors (collectively, the “Propulsion Indemnitees”) from and against any and all damages, claims, liabilities, losses, costs, fines, penalties, and debts, including reasonable legal fees, that the Propulsion Indemnitees may incur or be required to pay, directly or as a result of any third-party claim arising from:
(i) your use of the Services;
(ii) any complaint by a third party regarding solicitation emails sent by you; and
(iii) any other alleged breach of these Terms by you.
9. EXTERNAL SITES
The Services may contain hyperlinks to external websites that will take you away from the Services (the “External Sites”). You acknowledge and agree that Propulsion is not responsible for the availability of these External Sites or the accuracy of the content, products, or services available on these External Sites. The hyperlinks to External Sites do not imply that Propulsion endorses or approves of these External Sites. You acknowledge and agree that you assume all risks arising from your use of the External Sites. By using the Services, you expressly release Propulsion from any liability arising from your use of any External Site, and you agree to be bound by the terms of use and privacy policies applicable to such External Sites.
10. GENERAL PROVISIONS
10.1 Export Regulations
The Platform may be subject to export control laws, including Canadian and U.S. export control laws. You must not, directly or indirectly, export, re-export, disseminate, or make the Platform available to any jurisdiction or country to which such export, re-export, or dissemination is prohibited by law, rules, or regulation. You must comply with all applicable federal laws, regulations, and rules and satisfy all necessary requirements (including obtaining any necessary export licenses or other governmental approvals) before exporting, re-exporting, disseminating, or otherwise making the Platform available outside of Canada and the United States.
10.2 Survival of Provisions
The provisions that by their nature should survive termination of these Terms shall survive termination, including provisions regarding ownership, disclaimer of warranties, limitation of liability, and indemnification.
10.3 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder.
10.4 Notices
We may deliver all legally required notices (including the service of process) to you by any legal means, including posting notices on the Site or Platform or by sending notices to any email address you provide when establishing your account on the Platform or during any other interaction with us or the Services. You agree to send notices to us at: support@propulsionsport.com.
10.5 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire and exclusive agreement between Propulsion and you regarding the Services and the Documentation and supersede all prior oral or written agreements between Propulsion and you.
10.6 Waiver; Severability
The failure of Propulsion to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision in the future. Any waiver of such right or provision shall only be effective if made in writing and signed by a duly authorized representative of Propulsion. Except as expressly provided in these Terms, the exercise by Propulsion of any remedy under these Terms shall not preclude its other remedies. If, for any reason, a court of competent jurisdiction finds any provision of these Terms to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and these Terms shall be interpreted as if the invalid or unenforceable provision had never been included.
10.7 Force Majeure
Propulsion shall not be liable to you, nor be deemed in default or in breach, for any failure or delay in performing its obligations under these Terms when such failure or delay is due to events beyond Propulsion’s reasonable control, such as strikes, labor disputes, civil disturbances, riots, rebellions, invasions, hostilities, wars, acts of terrorism, embargoes, natural disasters, epidemics, pandemics, floods, tsunamis, fires, sabotage, fluctuations or unavailability of electricity, heat, light, air conditioning, or equipment of the licensee, loss or destruction of property, or any other circumstance or cause beyond Propulsion’s reasonable control.
10.8 Invalidity or Inapplicability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining provisions of these Terms. The Terms shall be interpreted as if the invalid or unenforceable provision had never been part of the Terms.
10.9 Governing Law and Jurisdiction
These Terms shall be governed, construed, and enforced in accordance with the laws of the Province of Quebec and applicable federal laws, without regard to conflict of laws principles. You agree that, if applicable, any dispute between you and Propulsion arising out of or relating to these Terms must be brought and resolved exclusively in the judicial district of Quebec, in the Province of Quebec, and you hereby waive any objections to such a forum as being inconvenient or inappropriate.
